Mudstone membership
Terms & Conditions
These Membership Terms & Conditions ("Agreement") govern your membership in Mudstone, a social membership club ("Mudstone," "we," "us," or "our"). By submitting a membership application, paying membership dues, or otherwise accessing Mudstone's spaces, events, or services, you ("Member," "you," or "your") agree to be bound by this Agreement.
1. Definitions
"Club" means Mudstone and its physical locations, events, digital platforms, and related offerings.
"Membership" means the recurring, revocable right granted to a Member to access the Club's spaces, standard events, and services, subject to this Agreement and payment of Membership Dues.
"Membership Dues" means the recurring monthly or annual fees charged for Membership, as set forth at the time of application or as updated from time to time in accordance with Section 4.
"Member" means any individual who has applied for and been granted Membership.
"Guest" means any individual invited by a Member to access the Club under the Club's guest policy.
2. Membership
2.1 Eligibility
Membership is open to individuals aged 21 and older. Mudstone reserves the right to accept or decline any application, at its sole discretion, and may require proof of age at any time.
2.2 Term
Membership begins on the date your application is approved and continues on a month-to-month or annual basis (depending on the plan selected) until terminated by either party in accordance with Section 7.
2.3 Non-Transferable
Membership is personal to the Member and may not be sold, transferred, or assigned to any other person without Mudstone's prior written consent.
2.4 Programming and Access
Membership grants access to the Club's spaces and standard programming included in Membership Dues. Certain special events, classes, guest experiences, or premium offerings may require an additional fee, which will be disclosed at the time of booking or registration.
3. Code of Conduct
Members agree to:
Treat other Members, Guests, and Club staff with courtesy and respect;
Comply with all house rules and policies posted or communicated by Mudstone from time to time;
Not engage in illegal, harassing, discriminatory, or unsafe conduct on Club premises or at Club events;
Take responsibility for the conduct of any Guests they bring to the Club.
Mudstone reserves the right to suspend or terminate the Membership of any Member who violates this Code of Conduct, with or without notice, at Mudstone's discretion.
4. Membership Dues and Payment
4.1 Fees
Membership Dues are billed monthly or annually, as selected at the time of application, and are due in advance of each billing period.
4.2 Non-Refundable
Membership Dues and any initiation fees are non-refundable, including in the event of early cancellation, suspension, or termination of Membership. Annual Membership Dues are non-refundable once charged.
4.3 Proration
Membership Dues for a Member's first month will be prorated based on the Member's enrollment date. Members will be charged a prorated amount covering the remainder of the month in which they enroll, followed by full Membership Dues beginning on the 1st of the following month.
4.4 Payment Methods
Dues may be paid via ACH at no additional charge. Payments made by credit or debit card are subject to a processing fee of 3% of the transaction amount.
4.5 No Membership Pauses
Memberships may not be paused, suspended, or placed on hold. Members who wish to stop billing must cancel their Membership in accordance with Section 7.
4.6 Late Payments
If a payment is not received by its due date, Mudstone may charge a late fee of the lesser of (i) the maximum amount permitted by North Carolina law or (ii) one and one-half percent (1.5%) per month on the unpaid balance. Mudstone reserves the right to suspend Club access for any account more than fifteen (15) days past due.
4.7 Fee Changes
Mudstone may change Membership Dues from time to time with reasonable advance notice to Members. Continued use of Membership after such notice constitutes acceptance of the new fees.
5. Liability Waiver and Assumption of Risk
Participation in Club activities, use of Club facilities, and attendance at Club events is voluntary. To the fullest extent permitted by law, Members assume all risk of injury, loss, or damage arising from their use of the Club, and release Mudstone, its owners, employees, and agents from any claims arising from such use, except to the extent caused by Mudstone's gross negligence or willful misconduct.
6. Disclaimers and Limitation of Liability
Participation in Club activities, use of Club facilities, and attendance at Club events is voluntary. To the fullest extent permitted by law, Members assume all risk of injury, loss, or damage arising from their use of the Club, and release Mudstone, its owners, employees, and agents from any claims arising from such use, except to the extent caused by Mudstone's gross negligence or willful misconduct.
6.1 "As Is" Basis
The Club, its facilities, events, and any digital platforms or content made available to Members are provided "as is," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or uninterrupted availability. Mudstone does not warrant that the Club or its offerings will be error-free or available at all times, and events, facilities, or offerings may be changed or discontinued at any time.
6.2 Limitation of Liability
To the maximum extent permitted by North Carolina law, Mudstone shall not be liable to any Member for consequential, incidental, special, indirect, or punitive damages arising out of or relating to this Agreement or Membership, even if Mudstone has been advised of the possibility of such damages. Mudstone's total liability to any Member for any claim arising under this Agreement shall not exceed the amount of Membership Dues paid by that Member in the twelve (12) months preceding the claim.
7. Termination
7.1 By Member
A Member may cancel their Membership at any time by providing written noteice to hello@mudstone.com
Monthly Memberships: Membership Dues are billed on the 1st of each month, and cancellations require at least thirty (30) days' notice before the next billing date. If notice is given fewer than thirty (30) days before the upcoming 1st, that month's billing will still occur as scheduled, and the Membership will remain active through the end of that billing period.
Example: If a Member requests cancellation on July 16, that request falls within 30 days of the August 1st billing date. The August 1st charge will still be processed, and the Membership will remain active through August, terminating at the end of August.
Annual Memberships: Annual Membership Dues are non-refundable once charged. Members on an annual plan must provide written notice of cancellation at least thirty (30) days before their annual renewal date to avoid being billed for the next annual term. If notice is given fewer than thirty (30) days before the renewal date, the annual renewal charge will still be processed, and the Membership will remain active through the end of that annual term.
No partial-period or partial-term refunds will be issued.
7.2 By Mudstone
Mudstone may suspend or terminate a Membership, with or without cause, upon reasonable notice, including for violation of this Agreement, non-payment of dues, or conduct that Mudstone determines is harmful to the Club or its Members.
7.3 Effect of Termination
Upon termination, the Member's right to access the Club and its offerings ends immediately. Any outstanding Membership Dues remain due and payable.
8. Photo and Video Consent
By participating in Club activities and events, Members consent to being photographed and/or filmed by Mudstone or its representatives, and grant Mudstone the right to use such photographs and video, without compensation, for marketing, promotional, and social media purposes. Members who do not wish to be photographed or filmed may opt out by notifying Mudstone staff in writing prior to an event or by emailing hello@mudstone.com.
9. Indemnification
Members agree to indemnify and hold harmless Mudstone, its owners, employees, and agents from any claims, damages, or liabilities (including reasonable attorneys' fees) arising from the Member's violation of this Agreement, violation of law, or conduct at the Club or Club events.
10. General Provisions
10.1 Governing Law
This Agreement is governed by the laws of the State of North Carolina, without regard to its conflict of laws principles.
10.2 Entire Agreement; Amendment
This Agreement constitutes the entire agreement between the Member and Mudstone regarding Membership and supersedes any prior agreements or discussions. Mudstone may amend this Agreement from time to time by posting an updated version on its website; continued Membership after such changes constitutes acceptance.
10.3 Force Majeure
Mudstone is not liable for any failure or delay in performance caused by circumstances beyond its reasonable control.
10.4 Severability
If any provision of this Agreement is found invalid or unenforceable, the remainder of the Agreement will remain in full force and effect.

Notices under this Agreement should be sent to hello@mudstone.com or to the mailing address provided by Mudstone.
